Introduction
By accessing and using PitchIt (the Platform), you accept and agree to be bound by these terms. If you do not agree with these terms, please do not use this service. These terms constitute a legally binding agreement between you and PitchIt regarding your use of our platform and services.
Service Description
PitchIt is an online platform that connects founders and investors by enabling founders to showcase their ideas, startups and businesses, while providing investors with the opportunity to discover and invest in them.
For Founders
- Create and manage founder accounts
- Create and submit business pitches for review
- Publish approved business pitches (accessible only to approved investors)
- Connect with potential investors
- KYC verification and identity management services
PitchIt reserves the right to review, approve, reject, request changes to, suspend or remove a pitch where reasonably necessary for the operation, integrity or safety of the Platform.
For Investors
- Access and manage an investor account
- Browse approved business pitches
- Express interest in pitches
- Connect with founders
- KYC verification and identity management services
User Responsibilities
By using our platform, you agree to:
- Provide accurate and current information
- Maintain the security of your login credentials
- Use the platform only for lawful purposes
- Respect intellectual property rights
- Not engage in fraudulent activities
- Comply with all applicable laws and regulations
Founders are responsible for the accuracy, completeness and legality of the information and content included in their pitches and for deciding what information they choose to disclose. Founders should carefully consider before including highly sensitive, confidential or personal information that they would not be comfortable sharing with Investors.
Intellectual Property
You retain ownership of your pitch content and business ideas. By submitting content to PitchIt, you grant PitchIt limited rights to host, process, format, structure, display and make that content available as reasonably necessary to operate the Platform and facilitate potential investment introductions, including to:
- Display content within the Platform
- Share content with approved Investors and authorised reviewers
- Use aggregated analytics
- Support Platform improvements
Founder and Investor Relationships
PitchIt facilitates connections between Founders and Investors but is not a party to any investment agreement concluded between them. Founders and Investors are responsible for negotiating and agreeing on the investment amount, equity, terms, conditions and any other arrangements relating to an investment. Each party remains responsible for conducting their own due diligence before entering into any agreement or transaction.
No Guarantee of Funding or Investment
PitchIt does not guarantee that a Founder will receive funding or that an Investor will identify or successfully conclude an investment opportunity through the Platform. The decision to pursue, negotiate or conclude an investment remains entirely between the Founder and Investor.
Platform Availability and Changes
PitchIt aims to provide a reliable and accessible Platform but does not guarantee that the Platform or any of its features will always be available without interruption or error. PitchIt may update, modify, improve, suspend or discontinue certain features or services where reasonably necessary for the operation and development of the Platform.
Fees and Payments
PitchIt may charge Investors fees for certain services. Any applicable fees and their respective terms and conditions will be communicated to the Investor before they become applicable. Founders are not charged for the use of the Platform.
Limitation of Liability
PitchIt provides a platform that connects founders and investors. While we take reasonable steps to create a secure, trusted and professional environment, we do not guarantee that every interaction, discussion or investment opportunity will result in a successful outcome.
PitchIt does not provide financial, investment, legal, accounting or tax advice. All users (founders and investors) are responsible for conducting their own due diligence and making their own commercial, financial and investment decisions.
To promote a secure and trusted environment, PitchIt may screen users, conduct identity verification (KYC), and require users to enter into applicable agreements relating to their participation on the Platform or introductions facilitated through PitchIt. Founder opportunities and the information contained in them are made available only to approved investors. Investors will be required to enter into agreements containing confidentiality and other protective obligations intended to help protect founders, their ideas and confidential business information.
While PitchIt takes reasonable measures to protect its users and the information shared through the Platform, no online platform can guarantee the complete security or confidentiality of ideas, business information, investments or intellectual property. Users who breach their contractual obligations may be subject to legal action and other remedies; however, PitchIt cannot guarantee that unauthorised use or disclosure of information will never occur.
PitchIt is not responsible for any loss, damage, dispute or liability arising from the use of the Platform or from any discussions, negotiations, agreements, investments or other arrangements entered into between users.
Termination
PitchIt may suspend or terminate your account or access to the Platform where reasonably necessary, including where you breach these Terms, an applicable agreement or law; present a security or fraud risk; misuse the Platform; or where suspension or termination is reasonably necessary to protect PitchIt, its users or the integrity of the Platform. You may also terminate your account at any time by contacting our support team.
Upon termination, your right to use the service will cease immediately, but these terms remain in effect regarding any prior use of the service.
Governing Law
These Terms are governed by the laws of the Republic of South Africa.
